Extension of the time period for operational services for the 'First Operational Phase' (until 03.2024), including an option for Gas Dispatch.

- Dringende Gründe im Zusammenhang mit für den Auftraggeber unvorhersehbaren Ereignissen, die den strengen Bedingungen der Richtlinie genügen
The contract awarded is for the realisation of the LNG Terminal Wilhelmshaven project with upstream FRSU. At the instigation of the Federal Government, the project is to be realised within the shortest possible time (completion still in winter 2022/2023) in order to secure and diversify the gas supply of the Federal Republic of Germany for the future, which has become uncertain and unreliable as a result of the Russian war of aggression. Therefore, the Federal Ministry of Economics and Technology has already informed in the “Circular of application of urgent awards in connection with the Russian war of aggression against Ukraine" of 13.04.2022 that accelerated awards pursuant to § 13 (2) No. 4 SektVO are possible in order to secure the energy supply. In addition to this, the LNG Acceleration Act stipulates in § 9 (1) No. 7 Sentence 2 LNGG that § 13 (2) No. 4 SektVO is to be applied with the following provision:
a) the extremely urgent, compelling reasons as well as the connection with events which the contracting authority concerned could not foresee are to be regarded as existing,
b) as a rule, the minimum time limits cannot be met; and
c) the circumstances justifying the extreme urgency are not normally attributable to the contracting authority.
The Russian war of aggression and the resulting uncertainties for the energy supply of the Federal Republic of Germany could not have been foreseen by the client. The prompt securing of the energy supply for the Federal Republic of Germany through, among other things, the immediate construction of an LNG terminal with upstream FRSU by the winter of 2022/2023, which is the aim of the Federal Government , constitutes a compelling, urgent reason. Due to the extremely tight schedule, the minimum deadlines for an award procedure could not be met for this contract.

With regard to the initiation of review proceedings, full reference is made to § 160 and § 135 GWB in conjunction with § 9 LNGG.
Pursuant to § 160 GWB (Gesetz gegen Wettbewerbsbeschränkungen - Act against Restraints of Competition, hereinafter referred to as “ARC”), the Public Procurement Tribunal shall initiate review proceedings only upon application. Any enterprise having an interest in the public contract or concession and claiming an infringement of its rights under § 97(6) ARC due to non-observance of procurement rules is entitled to submit an application. It must be shown that the company has suffered or threatens to suffer damage as a result of the alleged violation of the procurement rules.
Pursuant to §135 (1) ARC, a public contract is ineffective from the outset if the contracting authority 1) has infringed §134 or 2) has awarded the contract without prior publication of a notice in the Official Journal of the European Union, without this being permitted by law, and this infringement has been established in review proceedings. The ineffectiveness pursuant to § 135 (1) ARC can only be established if it has been asserted in the review proceedings within 30 calendar days after the contracting authority informed the tenderers and candidates concerned about the conclusion of the contract, but not later than six months after the conclusion of the contract. Pursuant to § 135 (2) sentence 2 ARC, the period for asserting the invalidity of a contract award in review proceedings ends 30 calendar days after publication of the contract award notice in the Official Journal of the European Union. After expiry of the time limit, ineffectiveness can no longer be established.
Pursuant to § 9 (1) no. 4 p. 1 LNGG (LNG-Gesetz, hereinafter referred to as “LNGG”), notwithstanding § 135(1) ARC, in review proceedings in the cases of § 9(2) and (3) LNGG, if a violation of the contracting authority within the meaning of §135(1) ARC is established, a contract may not be deemed ineffective at the request of the contracting authority or ex officio, if, after examination of all relevant aspects, taking into account the purpose within the meaning of § 1 LNGG and the special interest pursuant to § 3 LNGG, compelling reasons of general interest justify preserving the effect of the contract. As a rule, the special interest justifies preserving the effect of the contract. In cases of § 9(1) no. 4 sentence 1 LNGG, the Public Procurement Tribunal or the Court of Appeal shall issue alternative sanctions to determine the ineffectiveness in accordance with § 9(1) no. 6 LNGG.
In all other respects, reference is made to the provisions of § 9 LNGG.
