81297170-Service Agreement for GET.invest "Finance Catalyst"
GET.invest is a European program that aims at mobilising investments in clean energy. It is hosted on the multi-donor platform GET.pro, implemented by GIZ, and supported by the European Union, Germany, Sweden, the Netherlands, and Austria.
With six years of successful operation, GET.invest is deeply integrated in the market as a leading solutions provider for access to finance. It is embedded in a strong partnership and cooperation network with associations, similar initiatives as well as financiers.
GET.invest is generating substantial results, with a clear upward trajectory: it has supported more than 350 companies and project developers, and linked more than 130 thereof with financiers, representing a projected investment volume of 1.6 billion EUR. More than 65 of these are fully or, in case of several funding sources partly, in financial close, representing an expected investment volume of 0.44 billion EUR. It is fully integrated in the landscape of European support initiatives for clean energy and climate change. In addition, GET.invest has stimulated new private sector partnerships with large and small events with more than 13,000 participants in total. The instrument has built market structures through supporting associations, and it has provided much-needed information relevant to investment for private sector and financiers.
However, navigating the landscape of support and financing facilities, can still be a challenge, both for those who are looking for support as well as for those offering it. This is why the European Union has created a One Stop Shop (OSS) as part of its Team Europe Africa-EU Green Energy Initiative. In 2022, GET.invest has been mandated to serve as the Team Europe One Stop Shop, a single access point for information about and facilitated access to support and financing instruments for green energy in Africa.

GET.invest"s overall objective on the programme level is the "Private investment in clean energy and access to energy projects/companies in partner countries is mobilised." The Finance Catalyst is the key finance advisory service provided by GET.invest.
The contractor should be aware that the Finance Catalyst is a well-established and proven facility. The purpose of this tender is not to prepare a new facility or service but identify the best service provider to steer and further strategically develop an existing well-structured and yet complex service. During the inception phase, which will be prior to the actual work described below, GIZ will require and steer a smooth blending into the existing facility, the handover of all tasks and processes as well as the adjustments to the services where applicable. Both, the current contractor and the winning bidder will be responsible for this in a cooperative approach.
Work package 1: Intake to Outtake
Task 1: Intake
- The intake is a first assessment of the project and its proponent, paying particular attention to the maturity of the initiative related to the support the Finance Catalyst can offer.
Task 2: Client selection
- GIZ shall establish an evaluation committee whereby applicants in each round are reviewed, based on a series of parameters prior defined together with the contractor.
Task 3: Provision of financial advisory services
- The core task of the assignment is the actual provision of the support to the selected clients. Each support activity by the contractor shall be provided by a deal team, composed of a focal point advisor and at least one additional advisor with distinct skill sets (for example in financial modelling).
Task 4: Outtake
- In the Outtake, it is required that the contractor introduces clients of the GET.invest Finance Catalyst facility to potential financiers in a structured and unbiased approach.
Work package 2: Steering, Cooperation and Partnership
Task 1: Steering and coordination of advisory support function
- The contractor is required to outline how to achieve adequate coordination and steering of the advisory work.
Task 2: GET.invest interaction and coordination
- Besides the steering and coordination of advisory support, the contractor is expected to continuously and proactively establish and seek close coordination with the GET.invest team.
Task 3: Coordination with other GIZ services
- The contractor is expected to identify specific needs for support through Project Document Development and coordinate the provision of support through the respective service provider.
- The contractor is required to coordinate with the GET.invest Finance Readiness Support service line.
- The contractor is expected to work in coordination and support of the Financial Systems Development.
- The contractor is expected to provide activities related to the Mobilisation work of GET.invest.
- The contractor is expected to identify/ formulate and communicate needs for complementary "policy and regulatory" advisory support which can then be provided by the associated GET.transform team.
- Task 4: Coordination and partnerships with third parties
- GET.invest partnerships and collaborations from the perspective of the Finance Catalyst have a sole purpose: to improve the ability of GET.invest to deliver on its objective of mobilising investment.
Work package 3: Data, M&E, Reporting, Communication
Task 1: Data platform hosting and management
- The contractor is required to use, manage and continuously develop the existing Oracle-based workflow management system.
Task 2: Monitoring and Evaluation
- This service requires detailed, near-real time and accurate reporting given the relatively large size of the facility and its continued growth.
Task 3: Communication and Reporting
- The performance and competitiveness of GET.invest as well as its ability to share results with donors hinges on competent communication capacity and a strong brand.
Task 4: Knowledge Management, learning and Strategy
- GET.invest will deepen its research activities on topics relevant for the success of the activity and prepare knowledge products.

Abschnitt III: Rechtliche, wirtschaftliche, finanzielle und technische Angaben
1) Name and address of the company, legal form, registered office (country), owners and controlling parties, commercial register number/dirstrict court, bank account, tax number, VAT identification number, brief company profile and contact in event of queries.
2) Extract from the commercial register or equivalent evidence/proof in English or German (not older than six months).
3) Self-declaration that no grounds for exclusion in Section 123, 124 of the German Act Against Restraints of Competition (GWB), section 22 of the German Supply Chain Due Diligence Act (LkSG) and EU-Russian sanctions as well as that in the last three years no custodial sentence of more than three years or a fine of more than 90 daily rates or a fine of more than two thousand five hundred euros, which resulted in an entry in the Competition Register, been imposed for noncompliance as specified in section 124 (2) of the German Act against Restraints on Competition (GWB) apply.
4) If a candidate/tenderer wishes to use the capacities of another company for the execution of the contract or to prove his/her eligibility, she/he must prove by submitting a declaration of commitment that the corresponding capacities are available to him/her for the execution of the contract and a declaration that no grounds for exclusion pursuant to Section 123 GWB and/or Section 124 GWB apply to them must be submitted.
5) In the case of participation as a bidding consortium: tenderers must appoint a leading member and authorise this member to represent the group and to receive payments with discharging effect also for the other members. A corresponding agreement, signed by all members, must be attached to the application for participation. For this purpose, the form provided by GIZ must be used.
1) Declaration on the average annual turnover for the last 3 financial years (last-but-4 financial year can be included in case of invitation to tender held within 6 months of end of last financial year).
2) Declaration on the average number of employees and managers for the past three calendar years.
1) Average annual turnover for the last 3 financial years: at least 3,500,000 EUR.
2) Average number of employees and managers for the past three calendar years: at least 15 persons.
It is necessary to provide
(1) at least one reference project in the following technical field:
Implementation of one or several "access-to-finance" advisory facilities for clean energy investments (companies or projects), overall resulting in at least 10 financial closes of minimum 0.5 million Euro investment each.
(2) and at least one of this reference project must be in Sub Saharan Africa in the above mentioned technical field.
Each of the reference projects must be in the last three years with a minimum commission value of at least 1,000,000 EUR.
The relevant countries for Sub Saharan Africa are defined in the annex 1 to the terms of reference (ToRs).
1) The technical assessment is only based on reference projects with a minimum commission value of EUR 1,000,000 (one million Euro) in the last three years.
2) At least one reference project in the following technical field:
Implementation of one or several "access-to-finance" advisory facilities for clean energy investments (companies or projects), overall resulting in at least 10 financial closes of minimum 0.5 million Euro investment each.
(2) and at least one of this reference project must be in Sub Saharan Africa in the above mentioned technical field.
The relevant countries for Sub Saharan Africa are defined in the annex 1 to the terms of reference (ToRs).
As mentioned above under 1): Each of the reference project must be in the last three years with a minimum commission value of at least 1,000,000 EUR.

According to Article 160, Section 3 of the German Act Against Restraint of Competition (GWB), application for review is not permissible insofar as
1. the applicant has identified the claimed infringement of the procurement rules before submitting the application for review and has not submitted a complaint to the contracting authority within a period of 10 calendar days; the expiry of the period pursuant to Article 134, Section 2 remains unaffected,
2. complaints of infringements of procurement rules that are evident in the tender notice are not submitted to the contracting authority at the latest by the expiry of the deadline for the application or by the deadline for the submission of bids, specified in the tender notice.
3. complaints of infringements of procurement rules that first become evident in the tender documents are not submitted to the contracting authority at the latest by the expiry of the deadline for application or by the deadline for the submission of bids,
4. more than 15 calendar days have expired since receipt of notification from the contracting authority that it is unwilling to redress the complaint.
Sentence 1 does not apply in the case of an application to determine the invalidity of the contract in accordance with Article 135, Section 1 (2). Article 134, Section 1, Sentence 2 remains unaffected.
